§ 1 Subject Matter and Legal Nature of Services
The provider (“LoopSuccess”) provides the client with comprehensive IT, marketing, search engine optimization (SEO) and automation services. The parties expressly agree that the provider, in performing marketing, SEO and consulting services, provides exclusively services within the meaning of § 611 BGB (German Civil Code).
The client is fully aware of and acknowledges that the algorithms of search engine operators and advertising networks are subject to continuous changes. The provider has no direct influence on these external systems and therefore does not owe any specific economic or algorithmic success. Only the proper execution of the agreed optimization and marketing measures in accordance with the current state of the art is owed.
§ 2 Client's Strict Cooperation Obligations
The client is obliged to undertake all actions and approvals necessary for the proper execution of the contractually agreed services.
Cooperation obligations include in particular:
a) The immediate provision of all required access data, authorizations and API keys (e.g. logins for CMS, Google Analytics, Google Ads, Meta).
b) The timely provision of all materials intended for publication in digital form.
c) The content review and binding approval of concepts or automation workflows within 48 hours.
If the client fails to fulfill its cooperation obligations, the deadlines for service delivery shall be extended accordingly. The regular claim for remuneration shall remain unaffected.
§ 3 Performance Commitment and Exclusion Criteria
The provider grants the client a performance commitment in individually concluded individual contracts, provided that specific key performance indicators (KPIs) and a target period (e.g. 90 days) are defined therein.
Where agreed, the provider undertakes to waive fee claims for subsequent service periods if the KPIs have not been achieved to at least 90% after the deadline has expired. The provider will continue the contractually agreed services without charging further agency fees (“free continuation”) until the KPIs are reached. The deadline begins on the day of “Go-Live”.
Third-party costs (e.g. advertising budgets for Google/Meta, hosting, API costs) are excluded from this commitment and shall always be borne by the client.
The contractual performance commitment expires immediately and without replacement if:
a) The client violates its cooperation obligations and delays service delivery.
b) The client or third parties make unauthorized changes to systems, advertising campaigns or source code without consent.
c) The client fails to implement necessary technical recommendations (e.g. server upgrades).
1. Scope
These Terms of Service (ToS) apply to all services provided by LoopSuccess in the field of business consulting and digital services. By contacting us or commissioning our services, you acknowledge these ToS as binding.
2. Scope of Services
Our services include:
Business consulting and strategy development
Meta Marketing (Facebook & Instagram advertising)
Google Ads management
Email marketing
Web design and landing page creation
AI automation and customer service solutions
The specific scope of services will be individually agreed upon and recorded in a separate contract.
3. Contract Formation
The contract is formed through written confirmation (email is sufficient). The contact form only represents a non-binding inquiry. A consulting contract is only created through our acceptance of your request.
4. Prices and Payment Terms
All prices are exclusive of statutory VAT
Payment via Stripe (Visa, Mastercard, Klarna)

14 days after invoicing
In case of payment delay, interest on arrears of 9% above the base rate will be charged
5. 90-Day Guarantee
We offer a 90-day performance guarantee. If the pre-agreed KPIs are not reached within the optimization phase, we continue working at no additional cost until goals are met. Prerequisite: Full implementation of our recommendations by the customer.
6. Cooperation Obligations
The customer undertakes to:
Provide all required information truthfully and completely
Fully implement our recommendations
Attend regular coordination meetings
Provide timely feedback on questions
7. Confidentiality
Both parties undertake to maintain confidentiality regarding all received business information. This obligation continues after the contract ends.
8. Termination
The contract may be terminated by either party with 30 days' notice to the end of the month. Upon cancellation, no refund of payments already made will be issued. Services already delivered remain with the customer. The right to extraordinary termination remains unaffected.
9. Liability
Our liability is limited to intent and gross negligence. For slight negligence, we are only liable for breach of essential contractual obligations. Liability is limited in amount to the agreed remuneration.
10. Copyright
All concepts, strategies and materials created by us remain our intellectual property. The customer receives a non-transferable right of use for the agreed purpose.
11. Changes to the ToS
Changes to these ToS will be communicated to the customer in writing. They are considered approved if the customer does not object in writing within 4 weeks.
12. Final Provisions
The law of the Federal Republic of Germany applies. Place of performance and jurisdiction is our registered office. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
